Terms of Service

Please read these terms carefully. They govern your use of Yemame Reserve and form a binding agreement between you and Yemame.

Acceptance of Terms

By creating an account, accessing, or using Yemame Reserve (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Yemame ("we", "us", or "our").

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms, and references to "you" include that business entity.

If you do not agree to these Terms, you must not access or use the Service.

Eligibility

You must be at least 18 years old and operating or representing a legitimate business to use Yemame Reserve. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the full legal capacity to enter into a binding contract
  • You operate or represent a legitimate, lawfully registered service business
  • You will use the Service in compliance with all applicable laws and regulations in your jurisdiction
  • All registration information and business details you provide are accurate, current, and complete
  • You are not prohibited from receiving services under the laws of Ghana or any other applicable jurisdiction

Account Registration & Security

Account Creation

  • You must register with a valid, permanent email address that you own and control
  • Temporary, disposable, or shared email addresses are prohibited
  • You may only create one account per business unless expressly permitted by us
  • Unverified accounts may be restricted or disabled after 30 days

Your Security Responsibilities

  • You are solely responsible for maintaining the confidentiality of your account password and staff PINs
  • Choose a strong, unique password and do not share it with anyone
  • Do not share staff clock-in PINs with unauthorised persons
  • You are responsible for all activity that occurs under your account, including actions taken by your staff members
  • Notify us immediately at support if you suspect any unauthorized access to your account
  • We are not liable for any loss or damage resulting from your failure to maintain account security

One Account Per Business

Creating multiple accounts to circumvent subscription limits, onboarding fees, or platform restrictions is prohibited and may result in permanent suspension of all associated accounts.

Onboarding, Subscription & Billing

Onboarding Fee

Access to Yemame Reserve requires a one-time, non-refundable onboarding fee per business account. This fee activates your account and covers initial setup. The current onboarding fee is always displayed in the dashboard before payment. Yemame does not offer a free trial period.

Subscription Plans

After onboarding, you select a subscription plan that is billed on a recurring monthly or annual basis at the rate applicable at the time of purchase. Subscription fees are non-refundable except where required by applicable law.

Payment Processing

All payments are processed securely through our PCI-DSS compliant payment processor. We accept:

  • Mobile Money
  • Credit and Debit Cards

SMS Credits

Appointment reminders and notifications are sent using prepaid SMS credits. Each new business receives a starting bundle of complimentary credits. Additional credits may be purchased at the rate shown in your dashboard. SMS credits are non-refundable, non-transferable between businesses, and expire 12 months from the date of purchase.

Renewals, Cancellations & Failed Payments

  • Subscriptions renew automatically at the end of each billing cycle at the then-current rate
  • You may cancel your subscription at any time from the billing section of your dashboard; cancellation takes effect at the end of the current billing period
  • No refunds or credits are issued for unused portions of a billing period
  • If a payment fails, we will notify you and attempt to retry the payment; access to paid features may be suspended until payment is successfully collected
  • Accounts with outstanding payments for more than 30 days may be permanently suspended

Price Changes

We reserve the right to change subscription prices with at least 30 days' notice. Price changes will not apply to the current billing period in which notice is given. Your continued use of the Service after a price change takes effect constitutes acceptance of the new rate.

Bookings, Reminders & Service Obligations

Yemame Reserve provides tools to facilitate bookings between you and your customers. As the business owner, you are solely responsible for:

  • Honouring all confirmed appointments made through the platform
  • Keeping your services, pricing, durations, staff schedules, and availability accurate and up to date
  • Setting and enforcing your own cancellation, rescheduling, and refund policies with your customers
  • Any disputes between you and your customers arising from bookings
  • Ensuring your services comply with applicable health, safety, and professional licensing requirements

Reminders

Reminders are sent on a best-effort basis and are subject to SMS credit availability, network delivery conditions, and carrier limitations. We do not guarantee delivery of any individual reminder. We are not liable for missed appointments, no-shows, or losses arising from reminder delivery failures.

Acceptable Use

You agree to use Yemame Reserve only for lawful, legitimate business purposes. You must not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Attempt to access accounts, data, or systems belonging to other users
  • Interfere with or disrupt the Service, its servers, or its networks
  • Upload or transmit malicious code, viruses, or attempts to exploit vulnerabilities
  • Use automated bots, scrapers, or crawlers to access the Service without prior written permission
  • Send unsolicited, misleading, or spam messages to customers through the platform
  • Misrepresent your business, services, pricing, or credentials
  • List services that are illegal, dangerous, or prohibited under applicable law
  • Harass, threaten, or harm customers, staff, or other users of the platform
  • Use the Service to collect or process data in violation of applicable privacy laws
  • Resell or sublicense access to the Service without our written consent

Violation of this section may result in immediate suspension or permanent termination of your account without refund, and we reserve the right to report illegal activity to the appropriate authorities.

Suspension & Termination

Termination by You

You may close your account at any time by contacting our support team. Closing your account does not entitle you to a refund of any fees paid. Your data will be retained for 90 days after closure before being permanently deleted, giving you time to export records.

Termination or Suspension by Us

We reserve the right to suspend or permanently terminate your account, with or without prior notice, if:

  • You breach any provision of these Terms
  • We reasonably suspect fraudulent, illegal, or abusive activity
  • Your account has outstanding unpaid fees for more than 30 days
  • We are required to do so by law or regulatory authority
  • We discontinue the Service (with at least 30 days' prior notice where reasonably practicable)

Effect of Termination

Upon termination, your right to access the Service ceases immediately. We are not liable to you or any third party for suspension or termination of your account in accordance with these Terms.

Content & Intellectual Property

Your Content

You retain full ownership of the content you upload to the platform — including your business name, logo, photos, service descriptions, and customer data. By uploading content, you grant Yemame a non-exclusive, royalty-free, worldwide licence to display, store, and process that content solely to provide and operate the Service.

Your Responsibility for Content

You are solely responsible for ensuring that content you upload does not infringe any third-party intellectual property rights, violate any law, or contain false or misleading information. Do not upload images, logos, trademarks, or copy that you do not own or do not have a valid licence to use.

Our Intellectual Property

The Yemame Reserve platform — including its design, user interface, code, trade names, logos, and trademarks — is and remains the exclusive property of Yemame. These Terms do not grant you any right to use our brand assets or intellectual property other than to access the Service as permitted. You must not copy, modify, reverse-engineer, decompile, or create derivative works from any part of the Service.

Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without obligation to you.

Third-Party Services

The Service relies on trusted third-party providers for payments, cloud infrastructure, messaging delivery, and other operational functions. Use of these third-party services is subject to their own terms and privacy policies. We are not responsible for the performance, availability, or practices of any third-party service.

The Service may contain links to third-party websites. These links are provided for convenience only; we do not endorse and are not responsible for the content or practices of any linked site.

No-Show & Dispute Policy

Yemame Reserve is a booking and scheduling tool. We are not a party to any booking agreement between you and your customers. We are not responsible for:

  • Customer no-shows, late arrivals, or cancellations
  • Disputes between you and your customers over services, pricing, or refunds
  • Losses arising from cancelled or missed appointments
  • The quality or outcome of services delivered by your business

You are solely responsible for setting and communicating your own cancellation and refund policies to your customers, and for resolving any disputes that arise.

Disclaimers & Limitation of Liability

Service Provided As-Is

Yemame Reserve is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not warrant that the Service will be error-free or that defects will be corrected.

Limitation of Liability

To the maximum extent permitted by applicable law, Yemame and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost revenue, lost bookings, loss of data, or business interruption — arising from your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

Cap on Liability

Our total liability to you for any claim arising from or related to the Service shall not exceed the total fees you paid to Yemame in the three (3) months immediately preceding the event giving rise to the claim.

Your Responsibility

You are responsible for maintaining your own backups and records of important business data. We strongly recommend regularly exporting your booking and customer data.

Indemnification

You agree to indemnify, defend, and hold harmless Yemame and its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of or access to the Service
  • Your breach of these Terms
  • Content you upload or transmit through the Service
  • Your violation of any applicable law or regulation
  • Any dispute between you and your customers

Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, business practices, or applicable law. We will notify you of material changes via the dashboard or by email at least 14 days before the changes take effect.

Continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and may close your account before they take effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
